It offers three different packages for LLC formation, ranging from $0 plus state fees to $299/year plus state fees. While ZenBusiness offers a lot of options, it is lacking in some areas. The plans lack some of our favorite features from other companies, including registered agent service and branding tools.

4. Incfile

Incfile is a good choice for forming a company on a budget. It offers a $0 plus state fees plan that also includes a free year of registered agent service. Some other companies charge $199 a year for registered agent service, so Incfile is offering a valuable add-on here. If you are on a budget, this company is worth considering.

There are some limitations with Incfile. Reviews indicate that customer service can take some time to address problems, which can be frustrating. It’s also not possible to form a professional limited liability company (PLLC) with Incfile, so if you need a PLLC you will need to use a different company.

Pros

  • Form a company for $0 plus state fees
  • Registered agent service included for a year
  • Good budget option

Cons

  • Customer service can be slow to respond

How to Form an LLC in Massachusetts

You can start an LLC in Massachusetts on your own in five easy steps:

1. Name Your Business

You won’t be able to form your venture until you actually name it. Be sure to follow the LLC naming rules that are outlined in the Massachusetts naming requirements.

Then, make sure the name you want isn't already taken by doing a Massachusetts LLC search on the Secretary of the Commonwealth's website.

We also recommend using our LLC Name Generator tool to help secure a domain name for your company.

2. Choose a Resident Agent in Massachusetts

You are required to designate a resident agent, known in most states as a registered agent, for your Massachusetts LLC, which is an individual or business entity in charge of receiving legal documents, government correspondence, and more on behalf of your company.

If you form your company online with the Commonwealth of Massachusetts, you’ll be prompted to appoint your registered agent in Section 5.

If you form your enterprise by mail, download the Certificate of Organization, fill out the required fields and submit a physical copy with the Secretary of the Commonwealth. You’ll be asked to provide your registered agent’s information in the middle of page 1.

Learn more by reading our guide on Massachusetts resident agents.

3. File the Certificate of Organization

To create a company, you will need to file the Certificate of Organization with the Secretary of the Commonwealth. You can apply online, by mail, by fax, or in person.

4. Create an Operating Agreement

An operating agreement is a legal document that outlines the ownership structure and operating procedures of your venture.

Although an operating agreement is not required, it’s recommended. According to Massachusetts General Laws Chapter 156C, Section 2(9), every LLC may adopt a written or oral operating agreement to govern the company’s operating procedures.

You can read more about Massachusetts LLC operating agreements in our full guide.

5. Get an EIN

You can think of an Employer Identification Number as a Social Security number for your business. Get one for free through the IRS website.
