2. Tailor Brands

Like most business formation services, Tailor Brands offers three different packages. We think the company’s top-tier Elite package ($199/year plus state fees) is the one that offers the most advantages. Unlike the other plans, it includes powerful AI-driven branding tools that can help increase online awareness of your business.

Tailor Brands’ logo maker, which is included in the Elite plan, is one of the best we have used. Additional features like the business card tool and the social media post tool makes this particular company formation package stand out from the competition.

Pros

  • Best features of a premium package
  • All-in-one service
  • AI-driven logo maker

Cons

  • Best package is the most expensive

How to Form an LLC in Minnesota

You can start an LLC in Minnesota on your own in five easy steps:

1. Name Your Company

You won’t be able to form your enterprise until you actually name it. Be sure to follow the LLC naming rules that are outlined in the Minnesota naming requirements.

Then, make sure the name you want isn't already taken by doing a Business Filings Search on the Minnesota Secretary of State's website.

We also recommend using our LLC Name Generator tool to help secure a domain name for your company.

2. Choose a Registered Agent

You are required to designate a registered agent for your Minnesota LLC, which is an individual or business entity in charge of receiving legal documents, government correspondence, and more on behalf of your company.

If you form your venture online by creating an account through the Minnesota Secretary of State website, after accepting the terms and conditions, you’ll gain access to a variety of electronic forms, including the Articles of Organization. This is where you’ll appoint your registered agent.

If you form your company by mail, download the Articles of Organization, fill out the required fields and submit a physical copy with the Secretary of State. Your registered agent’s name and contact information will be requested in Section 2.

Learn more by reading our guide on Minnesota registered agents.

3. File the Articles of Organization

To register your enterprise, you will need to file the Articles of Organization with the Secretary of State. You can apply online, by mail, or in-person.

4. Create an Operating Agreement

An operating agreement is a legal document that outlines the ownership structure and operating procedures of your company.

Although an operating agreement is not required, it’s recommended. According to Minnesota Statutes Section 322 C.0102 Subd. 17, every LLC is encouraged to have an operating agreement, whether oral, written or implied (or any combination thereof).

You can read more about Minnesota LLC operating agreements in our full guide.

5. Get an EIN

You can think of an Employer Identification Number as a Social Security number for your company. Get one for free through the IRS website
