How to Form an LLC in Nevada

You can start an LLC in Nevada on your own in five easy steps:

1. Name Your Nevada LLC

You won’t be able to form your company until you actually name it. Be sure to follow the LLC naming rules that are outlined in the Nevada naming requirements.

Then, make sure the name you want isn't already taken by doing a Nevada Business Search on the Secretary of State's website.

We also recommend using our LLC Name Generator tool to help secure a domain name for your enterprise.

2. Choose a Registered Agent

You are required to designate a registered agent for your Nevada LLC, which is an individual or business entity in charge of receiving legal documents, government correspondence, and more on behalf of your company.

If you form your new venture online by creating an account through Nevada’s Business Portal, you’ll gain access to all the resources you need to appoint a registered agent.

If you form your company by mail, download the Articles of Organization, fill out the required fields and submit a physical copy with the Secretary of State. Your registered agent’s name and contact information will be requested in Section 2. (Note that Nevada distinguishes between commercial and noncommercial registered agents.)

Learn more by reading our guide on Nevada registered agents.

3. File the Articles of Organization

To register your new venture, you will need to file the following forms with the Nevada Secretary of State:

  • Articles of Organization
  • Initial List of Managers and State Business License Application
  • Certificate of Acceptance of Appointment by Registered Agent

4. Create an Operating Agreement

An operating agreement is a legal document that outlines the ownership structure and operating procedures of your LLC in Nevada.

Although an operating agreement is not required, it’s recommended. According to Nevada Revised Statutes Section 86.286, all members of an LLC may enter into an operating agreement to regulate the affairs of the company.

You can read more about Nevada LLC operating agreements in our full guide.

5. Get an EIN

You can think of an Employer Identification Number as a Social Security number for your Nevada LLC. Get one for free through the IRS website
