Wyoming Registered Agent

LLCs and corporations are required to appoint a Wyoming registered agent to receive important documents like service of process.

You can act as your own agent, but many small business owners choose to use a registered agent service.

This is because it's an affordable option that offers improved privacy, managerial flexibility, and reduced risk.

We’ll help you make the best choice for your business.

Recommended: Northwest Registered Agent offers free Wyoming registered agent services with LLC formation ($29 plus state fees).

Choosing a Registered Agent in Wyoming

A Wyoming registered agent will serve as your business’s primary point of contact; this is both in relation to the Wyoming Secretary of State and in relation to legal notifications and lawsuits filed by other businesses (e.g., service of process, etc.).

In Wyoming, all LLCs and corporations are legally required to appoint a registered agent. This can be a registered agent service, an individual, or a business attorney, so long as they:

  • Are 18 years old or over
  • Have a physical address in and are a resident of Wyoming
  • Will always be available for contact during normal business hours

Registered Agent Services

There are several benefits of using a commercial registered agent service; the main ones relate to convenience, privacy, and better storage:

  • Convenience — Hiring a third-party service will ensure that you do not need to be physically present at your place of business during normal business hours.
  • Privacy — Business owners that act as their own Wyoming registered agents will inadvertently have their name, registered office address, and contact information become publicly available.
  • Storage — Most third-party services scan documents that are received and upload them online or send them to you in PDF form; this will ensure you do not need to worry about losing important documentation.

Can You Be Your Own Registered Agent?

The main — and perhaps only — benefit of acting as your own agent is the decreased cost. This is because you will be able to do this for free (besides your time).

The cost savings need to be weighed against the disadvantages:

  • You are required to be at the provided address during normal business hours to ensure proper service of process.
  • It can be challenging to keep up with the necessary paperwork.
  • Illegal actions, including the possibility of errors in completed paperwork, may leave you liable for legal penalties or fines.
  • Registered agent services offer resources that will add value to your business.

Benefits of Using a Registered Agent Service

Many businesses choose to use a third-party service when they form an LLC. This is because it can offer a number of benefits, including:

  • Legal compliance: A specialized service will ensure that you do not miss an important legal document or notification (e.g., service of process, etc.) as a result of not being in your office (or as a result of a human error).
  • Improved privacy: If you act as your own agent, your name and address will become public record on the Wyoming Business Search website. Using a registered agent service will help keep your information private.
  • Discretion: When it comes to legal disputes, you will want to avoid receiving lawsuit-related documents in front of your clients and/or some employees.
  • Better storage: Your service will generally scan all documents received and upload them online in PDF form. This means that you will always be able to access them online and won’t have to worry about an employee accidentally losing an important document.

A national registered agent service can also be beneficial if you plan to expand into other states as a foreign LLC. This is because, otherwise, you would need to find an individual or business entity that is a resident — or is allowed to transact business — in each state that you want to register in.
